Job Title: Assistant General Counsel (m/f)
Reports to: Associate General Counsel
Location: Cham, Switzerland
The Assistant General Counsel will be a member of the Legal Department and will report to the Associate General Counsel (AGC) located in our Cham, Switzerland office. This position will closely interface with other members of the Legal Department and business development, procurement and operations personnel throughout Europe.
The attorney filling this position will have experience working in the pharmaceutical/biotech industry on commercial matters as well as other matters that typically arise in a multi-national manufacturing and services business. This attorney will principally be a legal resource in our commercial group, providing advice on, and assistance in negotiating and documenting, various commercial relationships, as well as mergers and acquisition matters and all other types of matters relating to the success of our business.
Draft, review, analyze, structure and negotiate manufacturing, packaging, pharmaceutical development, purchase, supply, license and master service agreements
Advise and provide training to business unit personnel with respect to compliance policies, customer and vendor relations, contract matters, and regulatory issues
Assist in merger and acquisition activity
Help to resolve any customer disputes and claims, support litigation and direct Outside Counsel in dispute/litigation matters
Assist in corporate governance activity
Provide general advice to senior management of the business units and other senior Company business personnel on a day-to-day basis
Provide advice and guidance for the accomplishment of the overall business objectives in compliance with applicable laws and regulations and avoidance of unacceptable risks
Provide informed cost-benefit analysis when identifying risks
Candidates must have a minimum of 7 years of commercial law experience working in a large law firm, government agency, or corporate law department. In-house legal department experience preferred.
Must have license or registration is needed to provide legal advice and representation from a Switzerland-based office.
Practical, business-focused advice within scope of responsibilities, including providing informed cost/benefit analysis when identifying risks
Strong organizational skills in order to prioritize and manage multiple time-sensitive projects simultaneously; willingness to assume heavy workload to meet timing and project needs
Excellent written and oral communication skills, with ability to synthesize complex legal issues to essential elements for clients throughout the organization with different goals and responsibilities
Fluency in English and at least one other language in which Catalent does business in Europe (German, French, Italian)
